Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Buir Lake Laboratories Limited, a company incorporated in Hong Kong SAR ("Buir Lake", "we", "us", or "our"), governing your access to and use of the Vox application and related web services (collectively, the "Service").

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Description of the Service

Vox is an AI-powered voice input tool for macOS. It captures speech from your device's microphone, transmits the audio to our servers over an encrypted connection, and returns polished, ready-to-use text that is pasted at your cursor position. The Service includes automatic speech recognition, AI-assisted text polishing, and a user account portal for managing your subscription and settings.

The Service is provided on a subscription basis. Plan details, including monthly quotas and pricing, are described at vox.buirlake.com/pricing and in our Billing Policy.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

3. Account Registration

You must register an account to use the Service. You agree to:

• Provide accurate and complete registration information, including a valid email address.
• Keep your account credentials confidential. You are responsible for all activity that occurs under your account.
• Notify us promptly at support@buirlake.com if you suspect unauthorised access to your account.
• Maintain only one account per person. Creating multiple accounts to circumvent quota limits or abuse free trial periods is prohibited.

4. Acceptable Use

The Service is intended for personal and professional productivity use — for example, drafting emails, writing notes, composing messages, and entering text more quickly than typing. You agree to use the Service only for lawful purposes and in compliance with these Terms.

You must not use the Service to:

• Transcribe or generate content that is unlawful, defamatory, fraudulent, or that infringes the intellectual property rights of any third party.
• Generate content used to harass, threaten, or harm any individual or group.
• Produce content that violates any applicable export control or sanctions regulations.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service or its underlying models.
• Attempt to circumvent rate limits, quotas, or authentication mechanisms through automated requests, scripting, or any other means.
• Resell, sublicense, or offer access to the Service to third parties without our express written consent.
• Interfere with the operation of the Service, including by transmitting malicious code or conducting denial-of-service attacks.

We reserve the right to suspend or terminate accounts found to be in violation of these terms without prior notice, at our sole discretion.

5. Intellectual Property

Your Content

You retain all ownership rights in the speech you record and the text you produce using the Service. By using the Service, you grant us a limited, non-exclusive, worldwide licence to process your audio and text solely to the extent necessary to operate the Service — that is, to perform transcription and polishing and return the result to you. This licence does not grant us the right to use your content for training machine learning models, advertising, or any purpose other than operating the Service.

Our Intellectual Property

The Vox application, website, server software, AI models, and all related technology are owned by or licensed to Buir Lake Laboratories Limited. Nothing in these Terms transfers any ownership rights in our intellectual property to you. You are granted a personal, non-transferable, non-exclusive licence to use the Service subject to these Terms.

6. Subscriptions and Billing

Subscription plans, pricing, and billing terms are governed by our Billing Policy, which is incorporated into these Terms by reference. Payments are processed by Airwallex. By subscribing, you authorise Airwallex to charge your payment method on a recurring monthly basis until you cancel.

7. Cancellation

You may cancel your subscription at any time from the Account Center. Cancellation takes effect at the end of the current billing period. Your plan will remain active and usable through that date. No partial refunds are issued for the unused portion of a billing period, except where required by law or as described in our Refund Policy.

8. Service Availability

We operate the Service on a best-effort basis. We do not guarantee any specific level of uptime or availability. The Service may be temporarily unavailable due to planned maintenance, infrastructure incidents, or circumstances beyond our control. We will endeavour to provide advance notice of planned downtime through the Account Center or by email where feasible.

We are not liable for any loss or damage arising from Service interruptions, delays, or errors, to the extent permitted by applicable law.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy of transcription output, or non-infringement. AI-generated text may contain errors. You are responsible for reviewing and verifying all output before use.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Buir Lake Laboratories Limited and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or your use of the Service, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to us in the three calendar months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Buir Lake Laboratories Limited and its officers, employees, and contractors from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service in violation of these Terms or applicable law.

12. Privacy

Our collection and use of personal data is described in our Privacy Statement, which is incorporated into these Terms by reference.

13. Modifications to the Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice by email to the address on your account. The notice will describe the nature of the changes. If you do not agree to the updated Terms, you may cancel your account before the effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, fail to pay amounts due, or if we are required to do so by law. Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will do so.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of that provision. These Terms, together with our Privacy Statement, Billing Policy, and Refund Policy, constitute the entire agreement between you and us with respect to the Service.
